CONSTITUTION AND BY-LAWS
OF THE
COLUMBIA BASKETBALL OFFICIALS ASSOCIATION



NAME

The name of this organization shall be the Columbia Basketball Officials Association (CBOA).

PURPOSE

The purpose of this association shall be: To assist the membership to improve officiating basketball through organized study of the rules of the game; To assign games submitted to the association and recommend officials for the state tournament regional, sectional, quarterfinals and state championship games.

MEMBERSHIP

Membership in this association shall be open to all basketball officials who qualify under the regulations and requirements set forth in the by-laws on membership.

OFFICERS

The officers of this association shall be four in number and shall consist of a President, Vice President, Secretary and Treasurer. The officers shall serve a term of two (2) years.

MEETINGS

Meeting of this association shall be held in accordance with the regulations set forth in the by-laws of this association.

AMENDMENTS

The constitution and by-laws may be amended, and new by-laws added by a 2/3 vote of the members present at any meeting, and at least ten (10) members make a quorum for those purposes.

BY-LAWS



ARTICLE I: OFFICERS AND THEIR DUTIES

The officers of this association shall the President, Vice President, Secretary and Treasurer. The officers shall be elected to a term of two (2) years by the membership at large. The election of the officers will take place at a date assigned by the board. To be eligible to hold office in the association, a member must have completed at least two (2) years active membership and be in good standing at the time of his or her election. To be elected, a nominee for office shall receive a majority vote of the members present at the time elections are held. In the event an office becomes vacated by any officer for any reason, a special election shall be held at the next regular scheduled meeting to fill the vacancy. The nominee to fill the vacancy must meet the qualifications set forth in the by-laws for the position and receive a majority vote from the members at large at the next regular scheduled meeting.


SECTION A – PRESIDENT: The President shall preside at all association business meetings and shall direct discussions at such meetings. The President will conduct all meetings in accordance to Robert’s Rules of Order. The President shall have the power to act for the association on all administrative matters affecting this association not reserved or delegated to the Vice President, Secretary, Treasurer or committees. The President shall appoint all committees he/she deems necessary to assist in the execution of his/her duties and to promote the association. He or she shall be an ex-facto member of all committee meetings. He or she will notify any member determined to be not in good standing and shall advise such member of his or her rights in such matter.


SECTION B – VICE PRESIDENT: The Vice President shall have the same powers and duties of the President. These powers will be exercised only in the absence of the President at Association meetings.


SECTION C – SECRETARY: The Secretary shall be paid an annual fee approved by the membership for services rendered. The date of payment shall be set by the board. The Secretary is herewith vested with the following powers and duties:

(1) The Secretary shall notify members of all meetings and shall be responsible for obtaining a suitable meeting place for all meetings.

(2) The Secretary shall keep a permanent record of the minutes of all meetings of this association and will prepare correspondence that he or she is directed to prepare by the President.

(3) The Secretary will furnish all members a copy of the constitution and by-laws as amended. Further they will furnish all other members a copy of any amendments or additions to the constitution and by-laws.

(4) The Secretary shall have the power to receive request from school administrators for officials for particular game dates. Assignment of officials to games accepted by the association will be the responsibility of the Secretary. His or her action in the respect shall be final and binding and shall not be open to review or criticism from the membership. The Secretary may also remove officials from games assigned by the association for any reason at the sole discretion of the Secretary. Any such action involving removal from a game is not subject to review by an appeal process or the membership as a whole. In addition, the association cannot be held liable for any damage caused to a member by him/her being removed from an assignment. The Secretary may delegate assigning responsibility to the President or Vice President.


SECTION D – TREASURER: The Treasurer is responsible for the collection of all membership fees and other revenues and properties due and owing the association. The Treasurer shall keep an itemized account of all membership dues and payments, presenting reports for the approval of the membership when requested.


ARTICLE II: EXECUTIVE COMMITTEE

The executive committee will consist of the four (4) elected officers and the immediate past president. Their duties are to study and review any and all recommendations regarding the affairs of the association presented by a member or members for consideration prior to presentation and recommendations to the general membership.


ARTICLE III: MEMBERSHIP

Membership in the association will be in two (2) categories: 1. Registered members; and 2. Life Members.

SECTION A – QUALIFICATIONS FOR MEMBERSHIP: A Registered member shall:
(1) Have a valid MSHSAA registration card to officiate basketball.
(2) Pay any applicable CBOA dues.
(3) Upon initial application, be accepted by the association into membership.

NOTE: THE ASSOCIATION RESERVES THE RIGHT TO DENY OR
TERMINATE MEMBERSHIP FOR ANY REASON.
SECTION B – DUES: The membership dues shall be set by the executive committee. The amount for Registered members may be divided into two categories and charged at two different rates. Discretion for the classifications and amounts are in the sole discretion of the executive committee. Membership dues are due and payable to the Treasurer by June 1 of each year.

SECTION C – LIFE MEMBERS: Any member who has retired from active officiating and still qualifies as a Registered Member pursuant to Section A may be elected by a majority vote of members present at any meeting to become a Life Member of the Columbia Basketball Officials Association. A Life Member shall have the same privileges of a Registered Member including the right to vote, however will not be required to pay yearly membership dues to the Columbia Basketball Officials Association.

SECTION D – EXPECTATION OF MEMBERS: To remain a Registered Member or Life Member, a member shall:

(1) Keep current with MSHSAA registration requirements.

(2) Keep current in payment of association dues.

(3) At all times conduct themselves appropriately in both words and actions, when representing the Association. Any action to the contrary will be reported to the Executive Committee, who by a unanimous vote may declare such individual’s membership status terminated.

(4) Fulfill all verbal and/or written contractual obligations.

(5) If a member cannot make an assigned game, he or she shall notify the Secretary/Assignor, and the Secretary/Assignor shall reassign the game. The member does not have the authority to reassign the game to another member. If the Assignor is unavailable, the Registered Member is expected to honor the contract or commitment.

(6) Each member shall keep their personal information containing their name, address, phone numbers, and dates of availability current with the association at all times, and shall be solely responsible for making any changes immediately.

(7) Members shall not contact a school, school administrator or coach directly regarding games being assigned by the Secretary, other than to provide confirmation to the school of the official’s attendance.

SECTION E – PROCEDURE PRIOR TO MEMBERSHIP TERMINATION: If action is taken by the Executive Committee to terminate a member, the following steps shall be followed:

(1) The President will notify the member in writing by certified mail that their membership is being terminated by the association. This notice shall specify the reason why such member is being terminated. Within ten (10) days of said notice, the member may respond to the President in writing, requesting a special meeting with the Executive Committee to review the facts and the termination decision. The member will be allowed 10 minutes to present their case to the Executive Committee as to why termination is inappropriate. The date of the meeting will be fixed by the President. If the Executive Committee confirms the termination is appropriate, the decision will be final.

(2) If a member does not respond within the ten (10) day time frame, the appeal will not be heard and that member’s name shall be immediately removed from the mailing lists and roster.

(3) A member disqualified from membership may re-apply as an applicant for membership, if the member was disqualified due to non-payment of dues and all delinquent dues are paid in full.

SECTION F – RESIGNATIONS: Registered Members may resign from the association. Reinstatement as a Registered Member occurs by payment of dues for the current year. Their names will go on the next mailing list and roster to be issued after their reinstatement.

SECTION G – ATTENDANCE POLICY:

(1) All members are encouraged to attend at least (50%) of regular meetings.
(2) If a member is assigned a game by the Secretary on a night of a meeting, the member will receive credit for attending that meeting.

SECTION H – ASSOCIATION POLICY REGARDING RECOMMENDATION OF OFFICIALS FROM STATE PLAYOFF GAMES: All Registered Officials eligible by MSHSAA standards to work state playoff games shall be considered for recommendations by the Officers and/or Executive Committee. The Officers and/or Executive Committee shall have absolute authority and discretion to recommend those officials they feel are most qualified. The criteria for recommendation shall include, but is not limited to:

(1) Official’s MSHSAA rating;
(2) Years of experience;
(3) Prior playoff experience;
(4) State or Association evaluations; and
(5) Meeting attendance




ARTICLE IV: MEETINGS

The President shall declare and the Secretary will prepare the schedule of meetings for the current season. The schedule may be revised as needed. The President shall have the authority to call any special meetings deemed necessary to fulfill the goals of the association and carry out the provisions of the Constitution and by-laws.



ARTICLE V: AWARDS

The association may extend a school sportsmanship and “Red Weir” award each year. To be eligible for the “Red Weir” award a member must be in good standing with the association and be nominated for the award. Selection for both awards shall be done on a date chosen by the Elected Officers.
